3. Description of Service

OmniGate is a B2B SaaS platform that deploys autonomous AI agents to discover, map, and operate third-party API integrations. Core capabilities include:

4. Autonomous AI Agents

Important: OmniGate deploys AI agents that act autonomously. Outputs are AI-generated and may contain errors. You are responsible for reviewing agent configurations and outputs before relying on them in production systems.

4.1 How Agents Operate

Agents act within the scope of the configuration you define: the APIs they may connect to, the data they may read or write, and the transformations they may perform. Agents do not act outside their configured scope without explicit Customer instruction.

The Service provides real-time kill-switch, pause, and rollback controls. We strongly recommend that you maintain active governance oversight, particularly for agents operating on sensitive or regulated data.

4.4 No Warranty on AI Outputs

AI-generated outputs are provided on an "as-is" basis. We do not warrant that agent outputs are accurate, complete, or fit for any particular purpose. You bear sole responsibility for decisions made based on AI output.

6. Subscription & Billing

6.1 Plans

Subscriptions are offered on monthly or annual billing cycles as published on our pricing page. Plan limits (integrations, agents, users) apply as described in the Documentation.

6.2 Payment

Fees are payable in advance. Payment is processed by our third-party payment processor. By providing payment details you authorise recurring charges at the subscription rate. All prices are exclusive of applicable taxes (VAT, GST, etc.) unless stated otherwise.

6.3 Automatic Renewal

Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. We will notify you of any price changes at least 30 days in advance.

6.4 Taxes

You are responsible for all applicable taxes. Where we are required by law to collect tax, it will be added to your invoice.

6.5 Downgrades

Downgrading your plan may result in loss of access to features or data that exceed the lower plan's limits. We are not liable for any such data loss arising from a downgrade you initiate.

7. Free Trial & Refund Policy

7.1 14-Day Free Trial

New customers receive a 14-day free trial with full access to the Service. No payment information is required to start a trial unless you elect to do so. At the end of the trial period, the Service will be suspended unless you purchase a Subscription.

7.2 Refunds

We operate a 14-day money-back guarantee on the first payment of any new paid Subscription. To request a refund within this window, contact omnigate@polsia.app. Refunds are issued to the original payment method within 10 business days.

After the 14-day window:

Refunds are not available for accounts suspended due to violations of these Terms.

9. Intellectual Property

9.1 OmniGate IP

OmniGate retains all intellectual property rights in the Service, including the platform software, AI models, agent frameworks, user interfaces, and Documentation. Nothing in these Terms grants you ownership of or licence to OmniGate IP beyond the limited right to access and use the Service as described herein.

9.2 Customer Data

You retain full ownership of your Customer Data. You grant OmniGate a limited, non-exclusive, royalty-free licence to process Customer Data solely to provide and improve the Service for you. We do not use your Customer Data to train shared AI models without your explicit consent.

9.3 Feedback

If you submit feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without restriction and without obligation to compensate you.

10. Data & Privacy

Our collection and processing of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Where you process personal data of your end-users through the Service, you act as the data controller and OmniGate acts as your data processor. A Data Processing Agreement (DPA) is available upon request and governs such processing. Contact omnigate@polsia.app to obtain a DPA.

11. Confidentiality

Each party agrees to keep confidential all non-public information disclosed by the other party in connection with the Service that is designated as confidential or should reasonably be understood to be confidential ("Confidential Information"). Neither party will disclose Confidential Information to third parties without prior written consent, except as required by law or as necessary to provide the Service.

This obligation does not apply to information that: (a) becomes publicly known without breach; (b) was independently developed; or (c) was lawfully received from a third party without restriction.

12. Limitation of Liability

These limitations are important. Please read them carefully.

12.1 Exclusion of Indirect Losses

To the maximum extent permitted by applicable law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, goodwill, or business interruption, however caused and on any theory of liability, even if advised of the possibility of such damages.

12.2 Aggregate Cap

Our total cumulative liability to you arising from or related to these Terms or the Service, whether in contract, tort (including negligence), or otherwise, will not exceed the greater of: (a) the total fees paid by you in the 12 months preceding the claim, or (b) £500.

12.3 Essential Basis

The limitations above reflect a fair allocation of risk and are an essential element of the basis on which OmniGate offers the Service. OmniGate would not provide the Service on these terms without these limitations.

12.4 Statutory Rights

Nothing in these Terms limits or excludes liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot be excluded or limited under applicable law.

12.5 AI Outputs

We are not liable for any loss or damage arising from reliance on AI-generated outputs. You accept that AI outputs may contain errors and that human review is required before acting on them.

13. Indemnification

You agree to indemnify, defend, and hold harmless OmniGate and its officers, employees, and contractors from and against any claims, liabilities, damages, and expenses (including reasonable legal fees) arising from: (a) your use of the Service in breach of these Terms; (b) your Customer Data; (c) your infringement of any third-party rights; or (d) agent configurations you deploy that cause harm to third parties.

14. Suspension & Termination

14.1 By You

You may cancel your Subscription at any time through the dashboard or by emailing omnigate@polsia.app. Cancellation takes effect at the end of the current billing period. You retain access to the Service until that date.

We may suspend or terminate your access immediately if:

14.3 Effect of Termination

Upon termination, your right to access the Service ceases immediately. We will retain Customer Data for 30 days post-termination, during which you may request an export. After 30 days, Customer Data is deleted in accordance with our Privacy Policy. Provisions of these Terms that by their nature should survive (including Sections 9, 12, 13, and 16) will survive termination.

15. Changes to the Service

We may modify, update, or discontinue features of the Service at any time. For material changes that negatively affect your use, we will provide at least 30 days' notice by email or in-app notification. If a change is required by law or to address a security issue, we may implement it immediately.

We may update these Terms from time to time. We will notify you by email and update the "Effective" date above. Continued use of the Service after the effective date of an update constitutes acceptance of the updated Terms.

16. Disputes & Governing Law

These Terms are governed by the laws of England and Wales. Any disputes arising under or in connection with these Terms shall first be subject to good-faith negotiation between the parties for 30 days. If unresolved, disputes shall be submitted to the exclusive jurisdiction of the courts of England and Wales, subject to any mandatory consumer protection provisions applicable in your jurisdiction.

For EU and UK business customers, nothing in these Terms prevents you from bringing a claim before the courts of your own member state or country as permitted by applicable law.
